1. General Provisions

These Terms & Conditions (the "Terms") govern the use of the Sync2Sys platform (the "Platform") provided by MB Medijos Publikavimas, registration code 30322839, VAT code LT100008463010, address Rusokų k. 1, Širvintų r. LT-19187, Lietuva (the "Service Provider"). By registering and using the Platform, physical or legal entities (the "Client") agree to be bound by these Terms.

2. Services Provided

The Platform provides SaaS (Software as a Service) solutions, including product data synchronization, automated pricing rules, feeds generation, and related e-commerce automation services.

3. Registration & Account

The Client must provide accurate, current, and complete information during the registration process. The Client is entirely responsible for maintaining the confidentiality of their account credentials and is liable for all activities that occur under their account.

4. Pricing and Payment Terms

Service fees are outlined on the pricing page. Payments are processed securely via Paysera. Subscriptions are billed on a recurring basis (monthly or yearly) and automatically renew unless canceled. All prices are stated inclusive of VAT depending on the Client's jurisdiction.

5. Service Provider Obligations

The Service Provider strives to ensure 99.5% uptime. The provider commits to processing personal data according to the Privacy Policy and applicable GDPR regulations. Support is provided during official business hours.

6. Client Obligations

The Client agrees to use the Platform only for lawful purposes. The Client shall not share access credentials with unauthorized third parties or use the Platform in a way that disrupts the service for others.

7. Intellectual Property

All rights, title, and interest in and to the Platform (including software, design, and branding) are the exclusive property of the Service Provider. The Client is granted a limited, non-exclusive license to use the services.

8. Limitation of Liability

The Service Provider shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruptions caused by third-party integrations (e.g., suppliers, e-commerce platforms) or force majeure events.

9. Termination

The Client may cancel their subscription at any time. The service will remain active until the end of the paid billing cycle. The Service Provider reserves the right to suspend or terminate accounts that violate these Terms.

10. Dispute Resolution

Any disputes arising out of these Terms shall be resolved through negotiations. If an agreement cannot be reached, the dispute shall be submitted to the competent courts based on the Service Provider's registered address.
